OPD Digital is a cloud-based outpatient department (OPD) management platform designed to help healthcare providers manage appointments, patient records, consultations, prescriptions, and related clinical workflows.
The Service is provided on a "best-effort" basis and is intended to assist healthcare professionals in their practice management, not to replace professional medical judgment.
3. Important Disclaimers
MEDICAL DISCLAIMER: OPD Digital is a practice management tool and is NOT a substitute for professional medical advice, diagnosis, or treatment. All medical decisions must be made by qualified healthcare professionals based on their independent clinical judgment.
NO MEDICAL ADVICE: We do not provide medical advice, diagnose conditions, or recommend treatments. The information and tools provided through our Service are for administrative and organizational purposes only.
3.1 Best-Effort Service
We provide our Service on a "best-effort" basis. While we strive for high availability and accuracy:
- We do not guarantee uninterrupted or error-free operation
- Service may be temporarily unavailable due to maintenance, updates, or unforeseen circumstances
- Data synchronization may experience delays in certain network conditions
- Features and functionality may be modified, added, or removed over time

AI FEATURES DISCLAIMER: Our platform includes AI-powered features such as lab report extraction. These AI features are provided as assistive tools and have inherent limitations. AI-generated outputs must always be reviewed and verified by qualified healthcare professionals before use in clinical decisions.
4.1 Nature of AI Processing
Our AI features use generative artificial intelligence and machine learning technologies. Users must understand that:
- AI systems can make errors, including misreading, misinterpreting, or incorrectly extracting information
- AI outputs are probabilistic and may not always be accurate or complete
- AI models may produce unexpected results with unusual document formats or poor image quality
- AI technology is continuously evolving and outputs may vary over time
4.2 Human Oversight Required
All AI-processed information requires human review. Specifically:
- Lab report extractions must be verified against original reports before clinical use
- Healthcare providers must not rely solely on AI outputs for medical decisions
- Any discrepancies between AI outputs and source documents should be resolved by reviewing the original
- Users bear full responsibility for actions taken based on AI-processed information
4.3 Limitations of AI

5. User Responsibilities
5.1 Healthcare Provider Responsibilities
If you are a healthcare provider using our Service, you agree to:
- Maintain valid professional licenses and credentials
- Use the Service in compliance with all applicable medical laws and regulations
- Exercise independent professional judgment in all clinical decisions
- Verify all information before using it for patient care
- Maintain appropriate medical malpractice insurance
- Comply with patient consent and confidentiality requirements
5.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorized access
- Ensuring that staff members have appropriate access permissions
5.3 Accurate Information
You agree to provide accurate, current, and complete information when using our Service and to update such information as necessary.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: OPD Digital, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of or inability to use the Service.
Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
We are not liable for:
- Medical outcomes or clinical decisions made using our Service
- Errors in data entry by users
- Inaccuracies in AI-processed information that was not properly reviewed
- Service interruptions or data loss beyond our reasonable control
- Third-party actions or integrations
- Compliance failures by users with applicable laws and regulations
7. Indemnification
You agree to indemnify, defend, and hold harmless OPD Digital and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Your medical practice and clinical decisions
- Any claim by a third party (including patients) related to your use of the Service
8. Intellectual Property
All intellectual property rights in the Service, including software, designs, logos, and documentation, are owned by OPD Digital or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
You retain ownership of all patient data and medical records entered into the Service.
9. Service Availability
9.1 Uptime
We target high availability but do not guarantee specific uptime percentages. Scheduled maintenance will be communicated in advance when possible.
9.2 Service Modifications
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice for significant changes that may affect your use of the Service.
9.3 Data Backup
While we maintain regular backups, we recommend that users maintain their own backup copies of critical data as a precautionary measure.
10. Payment Terms
Paid subscription plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly provided in these Terms or required by law.

- Failed payments may result in service suspension
- You are responsible for all applicable taxes
11. Termination
11.1 By You
You may terminate your account at any time by contacting us or through your account settings. Upon termination, you may request export of your data.
11.2 By Us
We may suspend or terminate your account if you:
- Violate these Terms
- Fail to pay applicable fees
- Engage in fraudulent or illegal activity
- Use the Service in a manner that could harm other users or our systems
11.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow for export, after which it will be deleted in accordance with our Privacy Policy.
12. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.
Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiations for a period of 30 days.
13. Changes to Terms
We may update these Terms from time to time. When we make material changes:
- We will notify you via email or prominent notice in the Service
- The updated Terms will be posted on this page with a new "Last Updated" date
- Continued use of the Service after changes constitutes acceptance
- If you disagree with the changes, you may terminate your account
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and OPD Digital regarding the Service.
14.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
14.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
14.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
